A.GAIN confident it will complete Zaragoza takeover before Sept 30
The investor group holding 75% since July 14 says the proration will be resolved and a capital raise of over €22m is next.
A.GAIN, the investment group that took 75% of Real Zaragoza’s shares on July 14, says it is confident it will complete the takeover before Wednesday, September 30, after the prorroga already built into the deal. Sport reports the delay was driven by a thorough legal review of documents and contracts by A.GAIN’s advisers, along with August being a relatively inactive month.
The intention is to finalize the 75% acquisition from Real Z LLC, tied to a SAD with total share capital of €49.015m, and to take part in a capital increase that will top €22m. A.GAIN would contribute around €8m through a mix of credit compensation and direct cash to cover the financial impact of the drop to Primera RFEF and existing payment commitments.
The Extraordinary General Meeting that was initially expected to rubber-stamp the SAD changes may be pushed to December, to align with the switch in presidency and the board reshuffle. With the raise, the SAD’s capital would exceed €71m, with 60% owned by A.GAIN.
